Searching for optimal strategic partners and valuation of a large Russian IT company

  • Detailed case elaboration and VosCap expertise allowed the Client to significantly strengthen its market positions and ensure a positive trend in operational and financial metrics. A year and a half later, the Client returned for VosCap advisory in organizing and supporting a deal with a potential strategic buyer to ensure the company's further development. At the moment, the VosCap team is an exclusive financial adviser to shareholders, actively leading the investment process.

Structuring Client’s business from the marketing segment to prepare for potential capital raising

  • VosCap assisted the Client’s team in organizing the management accounting system, which has not effectively and fully reflected all company’s business segments before. VosCap deep experience also allowed elaborating on various business structuring scenarios, including setting up a joint venture to attract financial investors in the future.

  • Many industries in Russia were consolidated at some point, e.g., banking, telecommunications, food retail, etc. VosCap team was an organizer and active participant in such cases in telecommunications. We are currently working on several scenarios of consolidation, elaborating on the opportunities of creating both horizontally and vertically integrated assets.

Assets valuation

  • VosCap has successfully completed a number of projects to determine the investment value of assets in real estate, tourism, and recreation sectors using the DCF method with the cost of capital assessment, taking into account market conditions, the specifics of the business and the characteristics of the regions in which the assets are located. Additionally, a scenario for the development of infrastructure and building of additional facilities was developed and elaborated determining CapRate and the payback period of investments.

Exploring African continent

  • We have unique experience in managing international projects. VosCap team conducted a detailed analysis of the Senegal market demand for frozen dairy products, as well as elaborated the case for scaling and joint production with a major Russian producer. The project was analyzed in terms of its investment attractiveness for international investors, a valuation was made and possible investment scenarios were developed.

  • As part of a project in the telecommunications segment in Kenya, the VosCap team was involved in assessing the investment attractiveness of the business and the sum of necessary investments, as well as in forming a list of potentially interested parties
