As an exemplary transaction one can pick a large technology company whose shareholders significantly transformed its business after engaging our team which recommended focusing on the development of a number of new promising products, showing high annual growth rates in market segments not yet covered by national strategics. Several years of development in those segments allowed the company to generate meaningful revenue from new products after which the shareholders engaged Voskhod Capital to start a focused investment process with a number of strategic players. Our investment thesis for them was built on the logic that the deal allowed them to enter new sizeable market segments with clear synergies for their core business. In-depth development of this strategy made it possible to initiate the transaction within a certain time frame and successfully close it upon completion of customary investment analysis, and subject to execution of negotiations rounds and approval of the deal by the strategic's management and shareholders.

We help companies raise equity, mezzanine and debt financing to pursue organic growth strategies in current and new market segments, consolidate other players with synergies and achieve other development objectives. As an example we can set out a project in the education segment where our team organized a round of financing for a client allowing the company to significantly develop its business launching a number of new products and services, as well as a number of projects with strategic investors which acquired control, but retained founders/management: such deals in the vast majority of situations involved organizing financing from a strategic partner with our support to promptly implement business growth plans.

- A shareholder with a minority stake in a promising growth company in the technology segment approached Voskhod Capital to sell his stake. In a well structured and highly competitive process involving parallel interaction with a number of potential investors our team managed to attract an investor which acquired the stake at an ambitious market valuation.
- The shareholders of a large federal-scale service company were considering selling their stakes, but as a result of negotiations received an offer from their partner co-shareholders at a valuation below the market. Upon engaging Voskhod Capital we organized a competitive process of interaction with dozens of potential interested parties a handful of which showed certain interest in the asset and came up with a fair value bid for the asset. Subsequent parallel interaction with all of them secured an additional increase of the valuation as a result of which the partner exercised its pre-emptive right and Voskhod Capital's clients were able to sell their shares at the top end of the market valuation.

This task is on the agenda of many companies doing business both in Russia and in the west. Our team has huge experience in implementing large-scale projects of asset carve out in the telecom space as well as recent applicable transactional experience in technology space in Russia. A large IT company was approached by a strategic investor with a proposal to acquire its subsidiary developing a unique technological stack. The deal involved carve out of certain technology and related IP rights from the parent company to the subsidiary. As part of this transaction Voskhod Capital organized the entire process with a large number of actively involved participants on the buyer's side and a dedicated legal advisor on the seller's side to work with them and the client’s management team against an ambitious deadline. We jointly led negotiations with the investor on all key parameters and phases of the transaction and completed the deal in less than 3 months upon signing of the non-disclosure agreement trough the completion of settlements with the buyer.

This scenario allows the management of companies to transform their role from employees to owners of the organization, while allowing them to remain in the managerial capacity or to become just shareholders in due course in accordance with their strategy and market opportunities.

Our team has a successful track record of completing more than 40 transactions on the buy side in technology, a number of service segments and telecommunications space. Many industries in Russia have witnessed strong consolidation, including banking, telecommunications, grocery retail and others. Voskhod Capital's team has been a direct driving force behind active palyer in the consolidation process in the telecoms sector in a number of landmark multi-billion dollar deals.
